Terms of Service

These Terms of Service ("Terms") govern your use of services provided by EdGrWork ("Company", "we", "us").

1. Services

We provide custom software development services, including but not limited to web development, application development, UI/UX design, and technical consulting.

All services are tailored to specific requirements agreed upon with each client.

2. Project Scope

All work is performed based on a mutually agreed scope, which may be defined in a proposal, specification document, or written communication.

Any work requested outside the agreed scope will be considered a change request and may:

  • Affect timelines
  • Incur additional costs
  • We reserve the right to pause work until such changes are approved.

3. Pricing & Payments

Projects may be billed on a fixed-price or hourly basis.

  • A non-refundable upfront deposit of 50% is required before work begins.
  • Remaining payments may be structured as milestones or final payment.
  • Payments are accepted via bank transfer or cryptocurrency (USDT/USDC). Any transaction fees are the responsibility of the client.

Failure to complete payment may result in:

  • Suspension of work
  • Withholding of deliverables

Invoices must be paid within 5 business days unless otherwise agreed

Late payments may result in project delays or additional fees

All fees are non-refundable unless explicitly agreed otherwise in writing.

4. Refund Policy

Due to the custom nature of our services:

  • No refunds are provided once work has commenced.
  • If a project is terminated, the client is responsible for payment of all work completed up to that point.

5. Intellectual Property

All code, designs, and deliverables remain the property of Company until full payment is received.

Until full payment is received, the client is granted a limited, non-exclusive, non-transferable license to review and test the deliverables.

Additional revisions are billed separately

Upon full payment, ownership of the final deliverables is transferred to the client.

We reserve the right to:

  • Reuse general knowledge, experience, and non-client-specific components
  • Display non-confidential work in our portfolio

6. Delivery and Acceptance

Deliverables will be considered accepted if no feedback or revision request is received within 5 business days after delivery.

Each project includes a limited number of revision rounds as defined in the project agreement

7. Client Responsibilities

The client agrees to:

  • Provide all required materials, content, and access in a timely manner
  • Review and approve deliverables promptly
  • Communicate clearly and without unreasonable delay

Delays caused by client may result in adjusted timelines and additional fees.

8. Timelines & Delivery

We provide a 7–14 day bug-fix period after delivery for issues directly related to the delivered work.

Any timelines provided are estimates only and not guaranteed.

We are not responsible for delays caused by:

  • Client feedback delays
  • Third-party services or APIs
  • Unforeseen technical challenges

9. Third-Party Services

Projects may involve third-party tools, platforms, or APIs.

We are not responsible for:

  • Downtime
  • Changes in pricing
  • Limitations or failures of third-party services

10. Limitation of Liability

To the maximum extent permitted by law, Company shall not be liable for:

  • Any indirect, incidental, or consequential damages
  • Loss of profits, revenue, or business opportunities

Our total liability shall not exceed the total amount paid by the client for the services.

11. Disclaimer of Warranties

All services are provided "as is" and "as available."

We do not guarantee that:

  • The software will be error-free
  • The service will be uninterrupted
  • The product will meet all business expectations

12. Termination

Either party may terminate the project at any time by written notice.

Upon termination:

  • The client must pay for all completed work
  • Any outstanding invoices become immediately due

13. Confidentiality

Both parties agree to keep confidential any sensitive or proprietary information shared during the course of the project.

14. Governing Law

These Terms shall be governed by applicable laws of the jurisdiction in which the Company operates, without regard to conflict of law principles.

15. Changes to Terms

We reserve the right to update these Terms at any time. Continued use of our services constitutes acceptance of updated Terms.
